Replacing an Exchange 2000 Server   
I have an existing exchange 2000 server that its hasrdware is failing so i 
want to setup a new exchange 2000 server and move all the mailboxes over to 
the new one. How can i do this with little or no downtime?

This will give you the basic steps just ignore the Exchange 2003 part, 
http://www.msexchange.org/tutorials/Migrating-Exchange2000-Exchange-2003-Hardware.html. 
You need to install the Exchange 2000 Server into your existing org then 
move mailboxes and finally follow http://support.microsoft.com/kb/307917.  I 
would turn off the old Exchange Server for about 24 hours before removing to 
insure everything has replicated properly.
