Where should I begin? From the little you wrote, you don't need Clustering.
It sounds like you a solid Disaster Recovery plan, solid backup software,
solid restore process, etc.
Next, you might want to look into third party replication software, because
clustering does not replicate Exchange data. Here are few that do what you
need:

I have not used any of the above, so I can't endorse any of them, and the

Lastly, clustering a DC is not support and a very bad idea, so you would
need new hardware to accomplish that a new cluster(besides you have to
cluster, then install Exchange).

Hums.. I thought I saw somewhere in the exchange manager an option to "push"
data to a secondary server, or something.. wonder if that would help us
any..
that is what we are trying to do, money is very limited so we were trying to
do it with what we already had. if clustering is out of the question and if
these software packages are to expensive, is there anything we can do with
our current setup?
Current setup
1 DC/Ench server *
1 SQL server *
1 Term server
1 Apps server
1 old server
(* mission critical)
we have 2 locations w/ a t1 connection, and currently have Backup Exec 10.x
(w/ exchange plugin) backing up the data, with a batch file backing up
changed files to a removable disk that is taken home every day. We feel we
have the data backed up farley well, but we are concerned about restoring
the servers configuration such as users and exchange data, I wasn't here
when these servers were put in to place, and I'll admit I have very little
knowledge on the matters. I will look at the sites you both have listed and
hopefully one of them with work with what we what to do.. and with our
limited funding.

You can push public folder information back and forth between two or more
Exchange servers. This is will not help your email users a bit though.
If you add another Exchange server, say on the Terminal Server, the
mailboxes would still only be on 1 server at time. Replication sounds like
what they want, but the price maybe very high, depending on the solution.
