Server upgrade?   
Our organization is presently operating an Enterprise Exchange 2003 Server 
on a Windows 2003 Server.  The same server is also our DC.  We have a small 
organization, approx. 100 users.  We have to seperate locations connected 
via P2P T1 and we have a secondary DC at the second location.  The primary 
location is 1.x and the second location on 2.x.  I need to begin individual 
Security Group password policies I understand are only available on Windows 
2008.  Can I upgrade my Windows Server 2003/Exchange Enterprise Server 2003 
to Windows Server 2008/Exchange Enterprise Server 2003?  What issues might I 
encounter, things I need to be aware of?

Negative. First off, Exchange 2003 isn't supported on Windows 2008.
Also any OS upgrade on the Exchange server would probably be very dangerous.

If you have not purchased any licensing yet, I would seriously look at 
Essential Business Server.
