i'm running exchange 2003 and need to replace the server it's running on 
completely
What is the best way to migrate from the old server hardware to a new server 
but ending up with the old server name and IP address

The server name really does not matter in this case. If it were me I would 
just install Exchange 2003, move mailboxes, then follow 
http://support.microsoft.com/kb/822931.  If you really want to keep the same 
name then look at http://support.microsoft.com/kb/822945
