Hi Eric,
I would do the following to prepare for the upgrade:
1. Install .NET 2.0 SP1 (instead of the hotfix). You can get it from
http://www.microsoft.com/downloads/details.aspx?FamilyId=029196ED-04EB-471E-8A99-3C61D19A4C5A&displaylang=en.
If you have any other .NET 2.0-based applications on the system besides
Exchange, check with the vendor to make sure they don't have issues with
.NET 2.0 SP1. I'm not aware of any apps that do, but you always want to
check first.[1]
2. If you have Exchange-aware applications on the system (archiving,
anti-virus, antispam, backup, etc.), check with the vendor to make sure that
they have been tested with and support Exchange 2007 SP1.
3. Visit Microsoft Update and install any critical updates. Consider
installing recommended updates, too.
4. Make a full backup of the system and your data before performing the
upgrade.
5. Stop services for Exchange-aware applications (e.g., Forefront, MOM,
etc.). Cycle the Remote Registry service. You do not need to stop any
Exchange services, as Setup will do that as part of its process.
6. Follow the well-written <g> instructions on TechNet.[2]
7. Don't forget to restart each node after Setup has been run (including
restarting the first node to be upgraded before running Setup /upgradecms).
8. After all nodes have been upgraded, make another full backup of the
system and your data.
I would set ICF to manual, as you stated, but I would also go ahead and just
start it, too. After the node has been rebooted, you can set ICF to
disabled again if you don't want to use it.
Some optional things you might want to do would be to rename or delete any
existing Exchange setup logs folder (e.g., C:\ExchangeSetupLogs) so that you
can start with clean Setup log files for SP1. You might also consider
saving off and clearing the Windows event logs to start with fresh event
logs for the Setup process, too, provided of course that doing so is in
compliance with your organization's policies, or any other regulations or
laws to which you're subject.
And of course, don't forget to let your users know to expect some downtime.
Not much, but some. After the passive node has been upgraded and rebooted,
you stop the CMS, move it from the active to the upgraded passive and the
upgrade the CMS, which comes online at the end of the upgrade process.
We're talking mere minutes for this.
I think you'll find the upgrade process for an Exchange cluster and a CMS
straightforward, quick and easy.

[1] Of course, you need to make sure the nodes meet the other requirements
for Exchange 2007 SP1, such as Windows 2003 SP2.
