PowerPoint and Excel don't close completely

If I open several PowerPoint or Excel 2003 archives and then close all them,
as well the application itself, Task Manager shows there are several
instances of PowerPoint (4) and Excel (2) still running.
However, these applications don't appear using the Alt+Tab option.

I am just updating my 2002 XP pro to 2003 XP pro. I have tried 2007 and
can't get on with it.
Am I correct in assuming that I will have to completely delete the 2002
version and then install the new 2003 version or what?
Also can I save my settings from 2002 version and then load them into the
